Beschreibung

This authoritative textbook offers a thorough, theoretical and practical overview of the current EU legal framework applicable to capital markets. Students, academics, practitioners and policy makers will be able to understand and develop an advanced critical analysis of the overall regulatory principles as well as the interaction between market actors and EU law which has shaped the regulatory agenda both at national and EU level. The book gives an overview of the foundations of EU capital markets and touches upon issuer disclosure obligations, inappropriate market practices and gatekeepers. The main aim of the book is to highlight the discrepancy between disclosure and enforcement trends in capital markets and to propose their recalibration at the EU level. EU law is the main focus, complemented by comparative analysis where applicable, primarily relating to UK, French and German laws. The comparative approach aims to show the gradual convergence between national laws under the constant pressure for level playing field rules and, more generally, EU regulatory harmonization trends which aim to increase the attractiveness of EU capital markets.
